Terms of Use

Acceptance of Terms

These Terms of Use (“Terms”) are an agreement between you and Alvor Pty Ltd (ABN 40 700 022 546) (“Alvor”, “we”, “us”, or “our”). By accessing or using the Alvor platform and website (“Services”), you agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you have entered into a separate written subscription agreement with us, that agreement applies to your use of the Services and prevails over these Terms to the extent of any inconsistency.

Description of Services

Alvor provides a cloud-based security architecture management and compliance platform that helps organisations manage their security architecture, track compliance, and govern risk, across integrated modules and an embedded AI assistant. The specific features available to you depend on your subscription plan.

Account Registration

To use the platform, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use of your account or any other breach of security.

Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorised access to any part of the platform or its related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Reverse-engineer, decompile, or disassemble any aspect of the platform, except to the extent this restriction is prohibited by law
  • Use the Services to store or transmit malicious code or infringing material
  • Resell, sublicense, or provide access to the platform to third parties without our written consent

Your Data and Privacy

You retain ownership of all data you upload to the platform (“Your Data”). You grant us a limited, non-exclusive licence to host, process, and display Your Data solely to provide and support the Services for you.

You are responsible for ensuring you have the rights, permissions, and consents necessary to upload Your Data to the platform, including where it contains personal information about other people and including any consents required under applicable privacy laws. Our handling of personal information is described in our Privacy Policy. Where you use the platform to process personal information about your own staff, customers, or vendors, we process that information on your behalf; a data processing addendum is available for customers who require one.

The AI Assistant operates on a bring-your-own-model basis: you connect your own model provider, and Your Data processed through it is handled under your own arrangement with that provider. We do not use Your Data to train machine-learning models except as set out in your subscription agreement or with your consent.

Intellectual Property

The Alvor platform, including its software, design, content, and documentation, is owned by Alvor Pty Ltd and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Services during the term of your subscription.

Fees, Billing and GST

Paid subscriptions are billed in advance on a monthly or annual basis. Unless stated otherwise, fees are exclusive of GST. Where GST applies to a supply we make to you under these Terms, you must pay the GST-inclusive amount, and we will provide a valid tax invoice.

We may change our pricing by giving you at least 30 days' notice before the change takes effect. A price change will apply from your next billing cycle after the notice period. If you do not agree to a price change, you may terminate your subscription before the change takes effect, and we will refund any prepaid fees for the unused part of your current billing period.

Except as required by law (including the Australian Consumer Law) or as expressly set out in your subscription agreement, fees are non-refundable.

Service Availability

We use reasonable efforts to keep the Services available, but we do not guarantee uninterrupted or error-free access. We may perform scheduled maintenance and will give reasonable notice where practicable. This clause operates subject to the “Australian Consumer Law” section below and does not limit any guarantee, right, or remedy you have that cannot lawfully be excluded.

Changes to the Services

We are continually improving the Services and may add, modify, or discontinue features from time to time. If a change would materially reduce the core functionality of the Services during a paid subscription term, we will give you reasonable notice, and if the change materially disadvantages you, you may terminate and receive a refund of any prepaid fees for the unused part of your term.

Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or any other applicable law that cannot lawfully be excluded, restricted, or modified (“Non-excludable Rights”).

Where we are permitted to limit our liability for a failure to comply with a consumer guarantee, and the goods or services are not of a kind ordinarily acquired for personal, domestic, or household use or consumption, our liability is limited, at our option, to resupplying the Services or paying the cost of having the Services resupplied.

Limitation of Liability

Subject to the “Australian Consumer Law” section and our liability for any Non-excludable Rights, and to the maximum extent permitted by law:

  • we are not liable for any indirect, incidental, special, consequential, or punitive loss or damage, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Services; and
  • our total aggregate liability arising out of or in connection with these Terms and the Services is limited to the amount of fees paid by you to us in the twelve months preceding the event giving rise to the liability.

Termination

Either party may terminate a subscription in accordance with the applicable subscription agreement. Either party may also terminate if the other party materially breaches these Terms and fails to remedy that breach within 30 days of written notice (or where the breach is not capable of remedy, immediately).

We may suspend or restrict your access without prior notice where reasonably necessary to address a serious breach, non-payment, a security risk, or a legal requirement. If we terminate your subscription for our convenience, we will refund any prepaid fees for the unused part of your subscription term.

On termination, your right to access the platform ceases. We will make Your Data available for export on request during a 30-day grace period after termination, after which we may delete it, except where retention is required by law.

Changes to These Terms

We may update these Terms from time to time. We will communicate material changes via email or through the platform before they take effect. If you do not agree to a material change, you may stop using the Services and terminate your subscription before the change takes effect. Continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them. Nothing in this section limits any Non-excludable Rights or any mandatory consumer protection that applies to you under the law of your place of residence.
